TERMINATION
AGREEMENT
This Termination
Agreement (the "Agreement"), effective as of January 30, 2006, is
entered into by and between N2T, Inc. ("N2T") and Oakley, Inc.
("Oakley") (each a “Party” and collectively the
“Parties”).
RECITALS
WHEREAS, N2T
and Oakley are parties to certain Aircraft Lease dated December 18,
2003 as amended from time to time by certain amendments thereto
(collectively, the "Original Lease") with respect to certain
aircraft referenced thereto;
WHEREAS, the
Parties have executed a new Aircraft Lease Agreement (the "New
Lease") effective as of January 30, 2006 (the "Effective Date")
with respect to certain aircraft referenced thereto (the
"Aircraft").
NOW,
THEREFORE, it is hereby agreed as follows:

Capitalized terms used herein and not otherwise defined shall have
the meanings given such terms under the New Lease.
