THIS TAX SHARING AGREEMENT (this “ Agreement ”) is made and entered into as of the 30 th day of September, 2008, by and between iGATE Corporation, a Pennsylvania corporation (“ iGATE ”) and Mastech Holdings, Inc., a Pennsylvania corporation (“ Mastech ”).
