"Amendment")

(Zhu Dehong, hereinafter referred to as "MR.ZHU"), a Chinese

Mr. Huang, Mr. Li and Mr. Zhu hereinafter may be referred to
collectively as the
"SELLERS" or individually as the "SELLER". The Purchaser and the
