                                  by and among

               Ligand Pharmaceuticals Incorporated ("Company") and

   Third Point LLC, Third Point Offshore Fund, Ltd., Third Point Partners LP,
Third Point Ultra Ltd., Lyxor/Third Point Fund Ltd., and Third Point Partners
                    Qualified LP (collectively "Third Point")
