AMENDMENT TO SEVERANCE AND RELEASE AGREEMENT

     On this 29 ^th day of August, 2007, the parties (hereinafter referred to as “Party” or “Parties”) to that certain Severance and Release Agreement dated February 21, 2007 (hereinafter referred to as “Severance Agreement”), Lawrence R. Kuhnert (hereinafter referred to as “Kuhnert”) and Arcadia Resources, Inc. f/k/a Critical Home Care, Inc., a Nevada corporation (hereinafter referred to as “Arcadia”) have entered into this Amendment to the Severance Agreement.

      RECITALS:

     A. In the Severance Agreement, the parties agreed to the terms and conditions under which Kuhnert’s employment with Arcadia would be terminated.

     B. The Parties now desire to modify the Severance Agreement including to provide for the payment of certain attorney’s fees.
