LIBOR

applicable to the calculation of the Pass-Through

Rate on the LIBOR

be determined as of each LIBOR Rate

Adjustment

Date. On each LIBOR Rate

Adjustment

Date, or if such LIBOR Rate

Adjustment

Date is
not a Business

Day,

then on the next

succeeding

Business

Day,

LIBOR shall be

established

by the Trustee and, as to any Interest
Accrual

Period,

will equal the rate for United States dollar

deposits for one month which appears on the Reuters Screen LIBOR01
page
as of 11:00 a.m.,

London time, on the second LIBOR Business Day prior to the first
day of that Interest

If
such rate does not appear on such page (or such other page as may
replace

that page on that

or if such service is no longer
offered,

LIBOR shall be so

established by use of such other service for

displaying

LIBOR or comparable

the Trustee after

consultation

with the Master

The Trustee will request the principal

quotations

are provided,

the rate will be the arithmetic

mean of the

quotations

rounded up to the next

If on such date fewer than two

quotations are provided as requested,

the rate will be the arithmetic

mean of the
rates quoted by one or more major banks in New York City,
