AMENDMENT
TO
RESTATED 1989 COURIER CORPORATION
DEFERRED INCOME STOCK OPTION PLAN
FOR NON-EMPLOYEE DIRECTORS

A.            The Restated 1989 Courier Corporation Deferred Income Stock Option Plan for Non-employee Directors (the “Plan”), as amended on November 4, 1993, is hereby amended pursuant to the authority reserved in Section 9 thereof:

1.             Section 4 is hereby amended by deleting the second paragraph thereof and substituting therefor the following:

“In the event that the outstanding shares of the Stock of the Company are hereafter increased or decreased or changed into or exchanged for a different number or kind of shares, or other securities of the Company or of another corporation, by reason of reorganization, merger, consolidation, recapitalization, reclassification, stock split up, combination of shares, or dividends
