FIFTH AMENDMENT TO
LEASE
This Fifth Amendment to Lease
(“Amendment’) is entered into as of
August 30th 2007 by and between The Board of Trustees of the
Leland Stanford Junior University, a body having corporate powers
under the laws of the State of California
(“Landlord”) and Ampex Data Systems Corporation,
a Delaware corporation (“Tenant”) in the
following factual context:
A. Landlord (as
successor-in-interest to Martin/Campus Associates, L.P., a Delaware
limited partnership) and Tenant (as successor-in-interest to Ampex
Corporation, a Delaware corporation) are the parties to that
certain Lease dated as of January 19, 1996, as amended by a
First Amendment to Lease dated as of December 20, 1996, an
Amendment to Bay Road Lease and Douglas/Broadway Lease dated
June 14, 1998, a Third Amendment to Lease dated as of
September 10, 1998, and a Fourth Amendment to Lease dated as
of November 19, 1999 (as amended, the
“Lease”), covering certain real property
commonly known as 1228 Douglas Avenue in the City of Redwood City,
County of San Mateo, California, consisting of approximately 32,000
square feet (the “Premises”). All capitalized
terms not otherwise defined in this Amendment shall have the
meanings given them in the Lease.
