AMENDMENT TO AMENDED AND
RESTATED EMPLOYMENT AGREEMENT
Dated as of January 25,
2007
Reference is made to that
certain Amended and Restated Employment Agreement (the “
Original Agreement ”), dated as of the Effective Date
as defined therein, by and between Tube City IMS Corporation (the
“ Company ”), a Delaware corporation, and I
Michael Coslov (the “ Executive ”). Capitalized
terms used but not otherwise defined herein shall have the meanings
given to them in the Original Agreement.
For good and valuable
consideration (including the promises set forth herein), the
receipt and sufficiency of which are hereby acknowledged, each of
the Company and Executive intending to be legally bound, hereby
agree as follows:

The second sentence of Section 1. of the Original
Agreement is hereby amended and restated in its entirety to read as
follows: “The number of shares of Restricted Stock shall be
equal to 19.59% of the total number of shares reserved for issuance
under the Restricted Stock Plan on the Effective Date, which shall
