AMENDMENT TO EMPLOYMENT AGREEMENT

THIS AMENDMENT TO EMPLOYMENT AGREEMENT is made this 17 ^th day of December, 2008 by and between EAU TECHNOLOGIES, INC., a Delaware corporation (the “ Company ”), and DOUG KINDRED,   an individual resident of the State of Georgia (the “ Employee ”)

WHEREAS, Company and Employee previously entered into an employment agreement dated October 24, 2006 (the “ Employment Agreement ”); and

WHEREAS, the parties wish to amend the Employment Agreement to comply with Section 409A of the Internal Revenue Code of 1986, as amended (the “Code”).

NOW THEREFORE, for and in consideration of   ten dollars and other for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Employment Agreement is hereby amended as follows:
