AMENDMENT NO. 1 TO EMPLOYMENT
AGREEMENT
THIS AMENDMENT
NO. 1 is entered into as of this 22 nd day of January, 2009 by and between REGENT
COMMUNICATIONS, INC ., a Delaware corporation (the
“Company”) and WILLIAM L. STAKELIN
(“Employee”).
WHEREAS ,
the Company and Employee entered into an Employment Agreement dated
as of December 28, 2007 (“Employment Agreement”),
whereby the Company agreed to employ the Employee, and the Employee
agreed to serve, as President and Chief Executive Officer of the
Company; and
WHEREAS ,
the Company and Employee desire to amend the Employment Agreement
as set forth herein;
NOW,
THEREFORE, in consideration of the premises and the agreements
contained herein, and other good and valuable consideration, the
receipt and adequacy of which the parties hereby acknowledge, the
parties agree as follows:
1.
Defined Terms . All capitalized terms used herein but
not defined herein shall have the same meaning as set forth in the
Employment Agreement.
