AMENDMENT NO. 3
TO THE
VWR INTERNATIONAL, LLC RETIREMENT PLAN
(formerly known as the VWR International, Inc. Retirement
Plan)
(As Amended and Restated
Effective June 1, 2005)
WHEREAS, VWR International, LLC (“VWR,”
formerly known as VWR International, Inc.) maintains the VWR
International, Inc. Retirement Plan (the “Plan”) for
the benefit of its selected employees; and
WHEREAS, the Plan was most recently amended and restated
effective June 1, 2005, and was subsequently amended by
Amendment No. 1 effective June 1, 2005, and by Amendment
No. 2 effective December 1, 2006; and
WHEREAS, VWR desires to amend the Plan in order
(i) to ensure that no Participant’s benefit under the
Plan is less than his or her Accrued Benefit determined as of
May 31, 2005 (e.g., as a result of increases in the Social
Security taxable wage base), (ii) to reflect the change in the
name of VWR, and (iii) to permit certain amendments to the
Plan to be adopted by the Benefit and Retirement Plan
Committee;
NOW, THEREFORE, effective as of the date hereof, except as
otherwise expressly provided, the Plan is hereby amended as
follows:

The name of the Plan is changed to
the “VWR International, LLC Retirement
Plan.”

Section 1.31 of the Plan is
amended to read as follows:
