                    AMENDMENT TO CONVERTIBLE PROMISSORY NOTE
                              DATED AUGUST 19, 2004

          Effective as of September 26, 2005 (Amendment Date) the Convertible
Promissory Note (Note) dated August 19, 2004 between Nord Resources Corporation,
