JOINDER AGREEMENT

Joinder Agreement, dated as of the 20th day of March, 2006, by and between Solomon Technologies, Inc., a Delaware corporation (the “ Debtor ”), and the undersigned (the “ Investor ”).

Reference is made to that certain Amended and Restated Security Agreement, dated as of March 16, 2005, by and among the Debtor, Woodlaken, LLC, Jezebel Management Corporation and the other investors listed on Schedule A thereto (the “ Security Agreement ”). Capitalized terms used but not otherwise defined herein shall have the meanings ascribed thereto in the Security Agreement.
