ASSIGNMENT AND ASSUMPTION OF PURCHASE AGREEMENT

THIS ASSIGNMENT AND ASSUMPTION OF PURCHASE AGREEMENT (this “ Assignment ”) dated as of March 24, 2008, is made and entered into by and between GRUBB & ELLIS REALTY INVESTORS, LLC , a Virginia limited liability company (“ Assignor ”), and G&E HEALTHCARE REIT EPLER PARKE BUILDING B, LLC , a Delaware limited liability company (“ Assignee ”), with reference to the following Recitals:

A. Assignor, as Grubb & Ellis Realty Investors, LLC, is “Buyer” under that certain Agreement for Purchase and Sale of Real Property and Escrow Instructions mutually executed as of March 6, 2008, by and between Assignor and Epler Parke, LLC, an Indiana limited liability company, as the same may be amended (the “ Purchase Agreement ”), wherein Assignor agreed to purchase certain real property commonly known as Epler Parke Building B, as more particularly described in the Purchase Agreement, on the terms and conditions set forth in the Purchase Agreement.
