LATIN AMERICA RIDER TO
THE
GLOBAL PLAYSTATION3 FORMAT
LICENSED PUBLISHER AGREEMENT
This Latin America Rider to the Global
PlayStation®3 Format Licensed Publisher Agreement (the
“Rider”) is entered into by THQ, Inc.
(“Publisher”) and Sony Computer Entertainment America
Inc. (“SCEA”) and rendered effective as of this
12 th day of December, 2008 (the
“Effective Date”).
1.
Incorporation
The Rider’s terms and
conditions are incorporated into and read in conjunction with the
terms and conditions of the Global PlayStation 3 Format Licensed
Publisher’s Agreement Signed by Publisher (“PS3
LPA”) along with any and all other riders to the PS3 GLPA
executed between Publisher and SCEA.
2.
Definitions
All capitalized words and phrases
referenced in the Rider that are not expressly defined herein shall
have the meanings set forth in the Definitions section of the PS3
LPA.
3.
Territory
A.
Pursuant to this Rider, the Territory for the PS3 LPA shall now
consist of the following geographic areas:
(1)
North America (including all territories and possessions of the
United States);
(2)
Central America; and
(3)
South America.
B.
SCEA can modify and amend the Territory from time and time during
the Term by providing written notice of any such cha
